Associate Attorney (Corporate)

About the Firm

Margolis PLLC is a full-service law firm with a core focus on fractional general counsel services, mergers and acquisitions, and corporate advisory work. We partner with businesses at every stage of growth, serving as trusted outside counsel and embedded legal partners to companies that need senior-level guidance without the overhead of a full-time in-house team.

The Role

We are seeking a corporate generalist attorney with 3 to 5 years of experience to join our growing team. This is a fully remote position offering broad exposure across transactional, advisory, and compliance matters, with direct client contact from day one. The right candidate will be comfortable operating as a strategic advisor to business owners and executive teams, not just drafting documents behind the scenes.

Responsibilities

  • Serve as day-to-day legal counsel to multiple clients in a fractional general counsel capacity
  • Draft, review, and negotiate a wide range of commercial agreements, including service agreements, NDAs, licensing agreements, partnership agreements, and vendor contracts
  • Support M&A transactions, including due diligence, deal structuring, and closing mechanics
  • Advise clients on entity formation, corporate governance, and organizational matters
  • Assist with regulatory compliance, risk assessment, and policy development across industries
  • Collaborate with senior attorneys on complex transactions and client strategy
  • Manage competing priorities across multiple client engagements

Qualifications

  • J.D. from an accredited law school
  • 3 to 5 years of experience in corporate, transactional, or general commercial practice
  • Admission to a U.S. state bar in good standing; Florida or New York bar admission preferred but not required
  • Strong drafting and contract negotiation skills
  • Ability to translate legal analysis into practical, business-oriented advice
  • Excellent organizational skills and the ability to manage multiple client matters simultaneously
  • A collaborative mindset and comfort working directly with clients in an advisory capacity

Compensation

  • Salary range: $120,000 to $150,000, commensurate with experience
  • Health, dental, and vision insurance
  • Paid time off and paid holidays
  • CLE reimbursement
  • Bar dues paid by the firm
  • Fully remote
